The situation

A seasoned entrepreneur was building an AI-native enterprise intelligence platform, unifying data governance, analytics, conversational AI, AutoML, and generative AI in a single Data Hub. The company was approaching its first institutional fundraise, and the founder was navigating the process for the first time.

What we did

CorpNinja led the company-side fundraise advisory and execution:

  • Pre-diligence preparation: data-room structuring, financial readiness, and compliance positioning
  • Term-sheet negotiation
  • Coordinated the financial, tax, legal, and secretarial due diligence on behalf of the company

Outcome

The fundraise closed at USD 1.5 million. Working with one multi-disciplinary team, the founder navigated a first-time institutional fundraise without having to coordinate separate financial, tax, legal, and secretarial advisors.

The situation

A natural-products company was preparing for a Small and Medium Enterprises (SME) IPO on NSE Emerge. It needed both the strategic finance function of a Chief Financial Officer and the company-side IPO advisory work that runs alongside the Merchant Banker.

What we did

CorpNinja provided Fractional CFO services through the pre-IPO period and acted as the company-side IPO advisor alongside the Merchant Banker:

  • Financial planning and MIS reporting

The Draft Red Herring Prospectus was approved on NSE Emerge. Finance leadership and company-side IPO advisory ran together through the pre-IPO journey, spanning the finance function, IPO documentation, and the regulatory query-response process.

The situation

A US-based healthcare revenue cycle management (RCM) company set up an Indian subsidiary. It needed an outsourced partner to run its accounting and financial compliance function, rather than build an in-house finance team.

What we did

CorpNinja managed the subsidiary's finance function on an outsourced basis:

  • Day-to-day bookkeeping and statutory reporting
  • Transfer pricing compliance and documentation
  • Recurring tax and GST return filings

Outcome

The situation

A SEBI-registered Category I Alternative Investment Fund (AIF) was investing into Indian portfolio companies. It engaged CorpNinja for due-diligence support across finance, tax, legal, and corporate secretarial dimensions for its prospective investments.

What we did

CorpNinja ran the multi-disciplinary due-diligence programme for the fund, under one coordinated engagement rather than separate workstreams. For each prospective investment, we conducted:

  • Financial due diligence
  • Tax due diligence
  • Legal due diligence
  • Corporate secretarial due diligence

Findings were delivered as a due-diligence report suited to the fund's investment-committee deliberations.

Outcome

The programme supported the fund's investment decisions across multiple portfolio companies.

The situation

A family-owned automobile business was operating through several entities, including proprietorships. The promoters wanted to consolidate the business under a single corporate structure.

What we did

CorpNinja advised on the consolidation and handled the incorporation:

  • Consolidation structuring advice
  • Incorporation of a public limited company as the consolidation vehicle

The public limited company was incorporated as the vehicle for the consolidation.
